Partner agreement

You tell your guests about us. When one of them places an order for a property you manage, we pay you a commission. That is the whole arrangement — there is no fee to join, no minimum, and nothing you have to buy.

We recognise an order as yours in one of two ways: the delivery address matches a property on the list you gave us, or the guest enters your referral code at checkout. If neither happens, we have no way to know the order was yours, so please make sure your property list is current.

You earn a flat commission for every completed order at one of your properties — the amount we agreed when you joined. Your current rate, every order it applies to, and the running total are all shown on your own partner page, the private link we sent you when you signed up.

An order counts as completed once the guest has been charged. We settle up monthly. If you would rather be paid on a different rhythm, ask — this is a small business and we can usually accommodate it.

You'll need a Stripe account to be paid. We pay commission through Stripe, so there is a one-time setup on your partner page where you enter your bank details on Stripe's own site — we never see or store them. Stripe will also ask you for the tax details it needs. Until that setup is finished your commission still adds up; it just can't be sent to you.

We can change the rate, but not retrospectively. We will give you at least 30 days' written notice before a change takes effect. Your commission is locked onto each order at the moment the guest is charged, so a later change never alters what you have already earned — including orders that are earned but not yet paid.

You are responsible for your own taxes on what we pay you. If we pay you $600 or more in a calendar year, US tax rules generally require a 1099 to be issued to you. The tax details needed for that are collected by Stripe when you set up payouts, so in most cases we won't need to ask you for anything separately — if we do, it will be a W-9, and only when it becomes relevant.

When a guest orders from us, they are our customer. We are responsible for their order, their payment, their groceries and their complaints, and we hold the relationship with them — including their contact details and their order history.

That cuts both ways. Your guests remain yours: we are not going to approach them about anything other than the order they placed, and we don't sell or rent anyone's details to anybody. But a guest you referred is not a shared account, and referring somebody doesn't give either of us a claim on the other's business.

Your property list is confidential. We use it for one thing: working out which orders are yours so that you get paid. We do not sell it, share it, publish it, or use it to market to the owners of those properties.

In return, by uploading a list you are confirming that you are authorised to share those addresses with us for the purpose of arranging deliveries. They are, after all, usually somebody else's houses.

Ask us to delete your list at any time and we will. Orders already completed keep their records, because we have to be able to account for money that has actually changed hands.

You are an independent business working with ours. Nothing here makes you an employee, an agent, a partner in the legal sense, or a joint venture with The Mountain Butler.

Practically, that means we don't set your hours, you don't answer to us, and we can't tell you how to run your properties. You cannot enter into contracts on our behalf or hold yourself out as speaking for us, and we won't do the same to you. You are responsible for your own taxes, insurance and business costs.

Be straight with your guests about what we are: a local grocery delivery service you recommend, not a service you provide. Don't promise on our behalf — prices, delivery times, or what we can get hold of — because we are the ones who then have to deliver it.

Keep your property list up to date, and tell us when you take on or give up a property. If two management companies claim the same address, we credit the order to neither of them until it's resolved, which is nobody's idea of a good outcome.

You can end this arrangement whenever you like, for any reason or none, by telling us. So can we. Neither side owes the other a notice period or a reason.

If it ends, we still pay you any commission you have already earned on completed orders. We will stop crediting new orders to you from the day it ends, and we'll delete your property list on request.

We provide the service as it is. We can't promise a particular volume of orders, a particular level of earnings, or that the programme will run forever. To the fullest extent the law allows, our total liability to you under this agreement is limited to the commission we owe you at the time the claim arises, and we are not liable for indirect or consequential losses.

This agreement is governed by the laws of the State of Colorado, and any dispute will be handled in the state or federal courts of Colorado.

We may update this agreement. When we do, we'll change the date at the top and the version below, and we'll tell you about anything that materially affects what you earn before it takes effect.
